Employment law aspects of restructurings
Aurion has extensive experience in the employment and corporate law aspects of mergers, acquisitions and restructurings.
Very frequently we perform a social audit ('due diligence') prior to the planned acquisition of a company.
We also assist our clients in the field of personnel during mergers. The way in which the merger is announced and discussed within the social dialogue bodies and with the personnel, can be important for the success of the project. After a merger, it is also often necessary to harmonise employment conditions (whether or not through a company collective bargaining agreement).
Finally, we have experience with the closure of departments and of companies, and with collective dismissals. Here, too, we support the client during the entire project (preparation of social consultations, negotiation of the social plan, drafting of a company collective bargaining agreement, removal of dismissal protection of protected employees for economic reasons, etc.).
